Given the nature of consulting services, particularly those involving government funding processes, specific outcomes cannot be guaranteed. Fees are for professional advice and services rendered, not for the guarantee of successful grant acquisition. In the unlikely event of significant service non-compliance, Belvani Grants will work diligently to rectify the issue and, if unresolved, may offer a partial refund or service credit at its sole discretion, based on the extent of non-compliance.

Liability, Dispute Resolution, and Legal Framework

Under no circumstances will Belvani Grants be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits or revenue, even if advised of the possibility of such damages. Belvani Grants is not responsible for decisions made by government agencies, nor for changes in government policies or funding programs.

Confidentiality and Intellectual Property Protections

All client information shared with Belvani Grants will be treated with the strictest confidentiality. We will not disclose, use, or permit the use of such information except as necessary for the provision of services or as required by law. Any intellectual property developed by Belvani Grants specifically for a client under an SOW will generally become the client's property upon full payment, unless otherwise explicitly stated.

Dispute Resolution Procedures

Should any dispute arise, both parties agree to first attempt resolution through good faith negotiations. If negotiations fail, the parties agree to engage in non-binding mediation facilitated by a mutually agreed-upon third party in Toronto, Ontario, before pursuing litigation. The costs of mediation shall be shared equally.

Governing Law and Legal Jurisdiction

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. The parties agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, for the resolution of any disputes.
